Please read these Terms of Service (“Terms”) carefully before using Middleman (the “Service”), operated by MadeThis (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account or using any part of Middleman, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

Middleman is an AI-powered operations platform for hospitality and event professionals. The Service includes tools for generating event production files, managing vendors, planning events, and accessing a vendor directory network. Features and availability may change over time as we improve the platform.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Transmit harmful, offensive, or fraudulent content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Scrape, copy, or redistribute content from the platform without permission
• Impersonate another person or business
• Use the Service to spam or harass other users
• Interfere with the proper functioning of the Service

5. AI-Generated Content

Middleman uses artificial intelligence to generate production files, event plans, vendor recommendations, and other content. You acknowledge that:

• AI-generated content is provided for informational and planning purposes only
• You are responsible for reviewing and verifying all AI-generated content before use
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific event
• You retain ownership of the content you input into the Service

6. Vendor Directory

Vendors listed in our directory are independent businesses. Middleman does not endorse, guarantee, or take responsibility for any vendor’s services, quality, or conduct. Any transactions between you and vendors are solely between you and that vendor.

7. Intellectual Property

The Middleman platform, including its design, code, branding, and content (excluding user-generated content), is owned by MadeThis and protected by intellectual property laws. You may not copy, modify, or distribute our platform content without written permission.

You retain ownership of all content you create and input into the Service. By using the Service, you grant us a limited license to process your content to provide the Service.

8. Subscription and Payments

• Paid plans are billed in advance on a monthly or annual basis.
• All payments are processed securely through Stripe.
• Refunds are handled on a case-by-case basis — contact us within 7 days of a charge.
• We may change pricing with 30 days notice to existing subscribers.
• Founding Vendor lifetime discounts are honored as long as your account remains active.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS. USE OF AI-GENERATED PRODUCTION FILES IS AT YOUR OWN RISK — ALWAYS VERIFY CRITICAL EVENT DETAILS INDEPENDENTLY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADETHIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR EVENT FAILURES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

You may cancel your account at any time from your account settings. We may terminate or suspend your account immediately for violations of these Terms. Upon termination, your right to use the Service ceases. We may retain data as required by law or for legitimate business purposes.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except where prohibited by law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notice. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
